The working agreement, in plain terms.

This covers how we work together on Shopify and Shopline projects. For anything project-specific, the signed proposal or invoice takes precedence over this page. Last updated: July 2026.

1. Scope of services +

D3 IT Solutions provides Shopify and Shopline app development, store creation, theme customisation, and ongoing store maintenance. The exact scope, deliverables, and timeline for any project are confirmed in writing (quote, proposal, or invoice) before work begins.

Any work outside the agreed scope — additional features, extra pages, new integrations — is treated as a separate request and quoted separately.

2. Payment terms +

Projects typically require an advance payment before work starts, with the balance due on completion or per the milestones agreed in the quote. Maintenance and support retainers are billed monthly in advance unless otherwise agreed.

Work is paused if an invoice remains unpaid beyond the agreed due date, and store access or files may be withheld until outstanding payments are cleared.

3. Timelines & client responsibilities +

Timelines given at the start of a project assume timely feedback and content (product data, images, brand assets, store access/credentials) from the client. Delays in providing these will shift the delivery date accordingly.

Store or platform credentials shared with us are used only for the agreed work and handled with reasonable care.

4. Revisions +

Each project includes a set number of revision rounds, agreed at the quoting stage. Revisions beyond that number, or changes that alter the original scope, are billed additionally at our standard rate.

5. Third-party platforms +

Shopify and Shopline are third-party platforms with their own terms of service, pricing, and policy changes outside our control. We build and maintain within their current guidelines, but we're not responsible for changes those platforms make to pricing, features, or app review policies.

Any subscription or transaction fees charged directly by Shopify, Shopline, or third-party app providers are the client's responsibility.

6. Intellectual property +

Once a project is paid in full, ownership of the custom code, theme, and app built specifically for the client transfers to the client. Pre-existing tools, snippets, or internal frameworks we reuse across projects remain ours, and are licensed to the client for use within their store.

7. Confidentiality +

Any business information, store data, or credentials shared with us during a project are kept confidential and used only for delivering the agreed work.

8. Warranties & liability +

We fix bugs directly caused by our development work at no extra charge within a reasonable warranty period stated in the project quote. We're not liable for losses arising from third-party app failures, platform outages, hosting issues, or changes made to the store by the client or another developer after handover.

Our liability for any claim is limited to the amount paid for the specific project or service in question.

9. Cancellation & termination +

Either party may end an ongoing engagement with written notice, as specified in the signed agreement. Work completed and hours spent up to the cancellation date remain payable; advance payments for work not yet started are handled per the original agreement.

10. Governing law +

These terms are governed by the laws of India, and any dispute is subject to the jurisdiction of the courts in Gujarat.
